In a recent notice the Colorado Secretary of State warns Colorado business owners of a deceptive solicitation issued by “Compliance Services.” The company has mailed solicitations to business owners across Colorado offering to prepare documents to satisfy annual meeting minute requirements for a fee of $125.00. The solicitation being sent is titled “Annual Minutes Requirement Statement Directors and Shareholders.” Colorado businesses are not required to file meeting minutes with any third party and the solicitation is creating confusion with state law requirements for businesses to file Period Reports with the Colorado Secretary of State’s Office.
